1. ABOUT THESE TERMS

These Terms and Conditions ("Terms") govern your use of the website at www.acrepharmacy.co.uk (the "Site") and your purchase of products and services from Acre Aesthetics Ltd (company number 11557880), trading as ACRE Pharmacy (pharmacy registration 9011661) ("we", "us", "our").

Our Site and services are intended exclusively for professional B2B customers (such as aesthetic clinics, registered prescribers and other healthcare professionals). By registering an account, placing an order or otherwise using the Site, you confirm that you are acting in the course of a business and that you accept these Terms together with our Privacy Policy, Delivery Policy and Returns, Refunds & Cancellation Policy, which together form the agreement between us.

In these Terms, words such as "you" and "your" refer to the business and any individual using the Site on its behalf. Section headings are for convenience only and do not affect interpretation.

2. ACCOUNTS AND ELIGIBILITY

You must register for an account and pass our verification checks before you can purchase from us. You agree to provide accurate and up-to-date information, to keep your account credentials confidential, and to notify us immediately of any unauthorised use. We may suspend or close accounts where we reasonably believe these Terms or applicable law have been breached, or where we are unable to verify professional status.

3. PRIVATE PRESCRIPTIONS

Private prescriptions are dispensed by ACRE Pharmacy in the United Kingdom. All prescriptions must comply with UK law and applicable professional standards and must be signed by a registered prescriber (such as a doctor, dentist or qualified non-medical prescriber) who has carried out an appropriate face-to-face consultation with the named patient and made a clinical decision to prescribe.

The prescribed items are for the named patient only and must not be re-sold. By submitting a prescription, the prescriber confirms acceptance of these Terms. Where a prescription is submitted on another pharmacy's template, our Terms apply to its dispensing by us. The named patient is responsible for the cost of the prescription and is taken to have consented for it to be delivered to the patient's agent at the address provided.

4. ORDERS, PRICING AND PAYMENT

All orders are subject to acceptance by us and to availability. We accept major credit and debit cards and BACS transfers. Our standard terms are payment in full before products are dispatched or services are provided, unless we have agreed a credit account with you in writing. Prices are shown exclusive of VAT unless stated otherwise.

5. DELIVERY

All UK orders placed before 5:00pm Monday to Friday will normally be despatched the same day with DPD (excluding Sundays and bank holidays). For Europe and overseas please allow 2-5 working days. You are responsible for missed deliveries; we are not required to offer a refund or replacement for missed deliveries. Our full Delivery Policy applies.

6. RETURNS, REFUND AND CANCELLATION

Returns, refunds and cancellations are governed by our separate Returns, Refunds & Cancellation Policy. Either party may terminate any services agreement for any reason; no refund is offered for services that are already under way, save that any pre-payment for unused services will be refunded.

7. DATA PROTECTION AND CONFIDENTIALITY

We process personal data in accordance with the UK General Data Protection Regulation, the Data Protection Act 2018 and our Privacy Policy. Our Privacy Policy explains what personal data we collect, the lawful bases on which we process it, how long we keep it, and the third parties with whom we may share it.

You acknowledge and agree that, in particular, we share trade-customer personal data with our group companies, our distribution and manufacturer partners and our service providers for the purposes set out in our Privacy Policy, including order fulfilment, product recalls and pharmacovigilance, complaint handling, administering joint loyalty and promotional programmes, and market analysis (which we share in aggregated or anonymised form wherever practicable). Where we rely on legitimate interests to share trade-customer personal data, you have the right to object using the contact details in our Privacy Policy.

We do not share identifiable patient health data with manufacturers, distributors or other third parties for marketing or commercial purposes. Patient prescription data is handled in accordance with section 5 of our Privacy Policy and under the responsibility of our Superintendent Pharmacist.

If you submit personal data to us about other individuals (including patients, colleagues or other practitioners), you confirm that you have a lawful basis for doing so and that any required information has been provided to, and any required consents obtained from, those individuals. To the extent that you and we are joint or independent controllers of any such data, you agree to comply with all applicable data-protection laws and professional confidentiality obligations.

Any conflict between these Terms and our Privacy Policy on a data-protection matter will be resolved in favour of the Privacy Policy.

8. INTELLECTUAL PROPERTY

All copyright, trademarks and other intellectual property rights in the Site and its content belong to us or our licensors. You may use the Site solely for your own legitimate business use. You may not copy, frame, scrape, redistribute, republish or otherwise exploit the Site or its content without our prior written consent. You may not create a link to the Site without our prior written consent; any link you do create is at your own risk and subject to these Terms.

9. SITE AVAILABILITY AND ACCEPTABLE USE

We try to keep the Site available and accurate, but we do not warrant that it will be uninterrupted, timely or error-free. The Site and the products and services we offer through it are intended for use in the United Kingdom. You are responsible for the choice and use of products to fit your particular purpose. You must not use the Site in any way that is unlawful or harmful, or that could damage, disable or impair the Site or interfere with any other user's use of it.

10. LIABILITY

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded under English law.

Subject to the paragraph above, and to the fullest extent permitted by law, (a) we exclude all implied terms, conditions and warranties; (b) we are not liable for any loss of profit, loss of business, loss of goodwill, loss of anticipated savings, loss or corruption of data, or any indirect or consequential loss, however caused; and (c) our total aggregate liability arising out of or in connection with these Terms is limited to the price paid by you for the products or services giving rise to the claim.

Your statutory rights, where applicable, are not affected.

11. FORCE MAJEURE

Neither party is liable for any failure to perform that is caused by an event beyond its reasonable control, including but not limited to acts of God, terrorism, war, civil unrest, earthquake, flood, pandemic, industrial action or governmental action. The affected party will notify the other promptly and use reasonable efforts to mitigate the impact.

We use a number of email addresses for different queries; our contact details are on the Contact Us page of the Site. Our registered office and trading address is Unit 7B, Unit 5-7 Tintagel Way, Westgate Park Industrial Estate, Walsall WS9 8ER, United Kingdom. Our company number is 11557880.

13. CHANGES TO THESE TERMS

We may change these Terms from time to time. The current version, version number and last-updated date are shown at the top. Where the changes are material, we will give reasonable advance notice. Your continued use of the Site after a change takes effect constitutes acceptance of the updated Terms.

14. GENERAL

These Terms are governed by the laws of England and Wales, and any dispute will be subject to the exclusive jurisdiction of the English courts. If any provision is held to be invalid or unenforceable, the remaining provisions will continue in force. Our failure to enforce any provision is not a waiver of it. No third party has any right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.

15. COMPLAINTS

If you wish to make a complaint, please contact us at info@acrepharmacy.co.uk. All complaints will ultimately be reviewed by our Superintendent Pharmacist. Pharmacy complaints not resolved with us may be escalated to the General Pharmaceutical Council.

16. GALDERMA LOYALTY "CP PERKS" — PROGRAMME TERMS

16.1. ELIGIBILITY

The Galderma Loyalty "CP Perks" programme (the "Programme") is available exclusively to verified ACRE account holders meeting our eligibility and compliance criteria and is intended for professional use within the aesthetics and healthcare industry.

16.2. PROGRAMME BENEFITS

Participants are entitled to: (a) complimentary next-working-day delivery before 12:00pm on eligible orders to addresses in Great Britain, subject to our daily cut-off (not available to Northern Ireland, the Channel Islands, international addresses, or areas served by a two-day delivery service — those areas receive free delivery on eligible orders within service areas instead); and (b) a 25% discount on selected "Favourite" Galderma products as listed and updated periodically on the ACRE Pharmacy website when logged in. Discounted products are clearly marked and subject to availability. Discounts cannot be combined with any other promotion, offer or loyalty reward unless explicitly stated.

16.3. DURATION AND CHANGES

We may amend, suspend or withdraw the Programme or its benefits at any time without prior notice, with changes reflected on the website.

16.4. ORDER AND DELIVERY CONDITIONS

Delivery times are estimates subject to courier availability. Free delivery applies to standard parcels meeting our shipping guidelines; oversized or special-handling items may incur additional charges. Orders placed after the daily cut-off will be processed the next working day.

16.5. GENERAL

Benefits have no cash value and are non-transferable. Participation constitutes acceptance of these terms. We may withdraw benefits or membership where these terms are breached or where misuse or fraudulent activity is suspected. Products remain subject to our standard Terms of Sale and Delivery.

17. MERZ AESTHETICS X ACRE OFFER — TERMS

17.1. ELIGIBILITY

This offer is available exclusively to verified ACRE account holders operating in the aesthetics industry. New and existing customers are eligible when purchasing qualifying Merz Aesthetics products. The offer is valid for customers located in the United Kingdom only.

17.2. OFFER DETAILS

Customers who purchase any qualifying Merz Aesthetics product through ACRE receive: (a) free next-day delivery for 30 calendar days from the date of dispatch of the first qualifying order (premium delivery services, remote-area surcharges and weekend deliveries may incur additional fees); and (b) access to a trade credit account, subject to approval and credit check.

17.3. CREDIT ACCOUNT TERMS

Credit facilities are provided at our sole discretion and are subject to a satisfactory credit assessment. Standard payment terms are 30 days end-of-month unless otherwise agreed in writing. We may amend, suspend or withdraw credit terms at any time without prior notice if account conditions are not met. The credit account may only be used for purchases made directly through ACRE.

17.4. GENERAL

The promotion cannot be transferred, exchanged or combined with any other offer, promotion or discount. Free next-day delivery is subject to stock availability and order cut-off times. Merz Aesthetics and ACRE may modify or withdraw this offer at any time without notice. Errors and omissions excepted.

17.5. VALIDITY



The promotion runs from 24 October and is valid until further notice. Orders placed outside this period will not qualify.
